Terms of Service

Please read these Terms carefully before using Whosta. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Operator and contact

Whosta is operated by Xborder Technologies, represented by its founder Mr. Satish Krishnan, Scheurener Str. 169, 51519 Odenthal, North Rhine-Westphalia, Germany.

2. Eligibility and authority

You may use Whosta only if you are at least 18 years of age, have the legal capacity to enter into a contract, and are using the service for business or professional purposes. By using the service you represent and warrant that you meet these requirements.

If you are using Whosta on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. “You” in these Terms refers to you individually and, where applicable, to the entity you represent.

3. Account registration and security

You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@whosta.com if you suspect any unauthorised use of your account.

4. Description of the service

Whosta is a business SaaS platform that connects ecommerce and advertising accounts to AI assistants and reporting tools. The service allows you to query data from connected platforms — such as WooCommerce, Shopify, and Google Ads — using natural language, by text or voice, in multiple languages.

4.1 Integrations

Whosta connects to third-party platforms through standard APIs and OAuth authorisation flows. You must have the right and authority to grant Whosta access to any account you connect. You must not connect accounts belonging to third parties without their explicit written authorisation.

4.2 Google Ads integration — initial release (read-only)

The initial release of the Google Ads integration is read-only. Whosta can read campaign data, keyword performance, search term reports, and Keyword Planner data from your connected Google Ads account. Whosta does not create, modify, pause, resume, or delete campaigns, bids, ads, or keywords in this release.

4.3 Google Ads integration — future write functionality

Future releases may allow Whosta to propose changes to your Google Ads account. Such changes will follow a draft-and-explicit-approval workflow:

  1. Whosta proposes a specific change (for example, a bid adjustment or a new negative keyword).
  2. You review the proposed change in full before it is applied.
  3. You explicitly approve the change by a deliberate action (for example, clicking a confirm button).
  4. Whosta applies the change to your Google Ads account only after your explicit approval.
  5. A confirmation and audit record is created.

No changes will be applied automatically without your step-by-step approval. We will update these Terms before enabling write functionality.

4.4 AI-generated output

Whosta uses AI models to generate reports, summaries, answers to queries, and recommendations. AI-generated output is provided for informational purposes only. It may be incomplete, imprecise, or based on data that has not been fully synchronised.

AI output is not professional advice. Do not rely on AI-generated output as financial, legal, tax, employment, advertising strategy, or business advice without independent verification. You are solely responsible for decisions you make based on AI-generated output.

5. Authorised accounts and third-party platforms

You must connect only accounts that you own or that you are explicitly and lawfully authorised to access and manage. You are responsible for ensuring that your use of Whosta complies with the terms and policies of each connected platform, including Google’s Terms of Service, Google Ads policies, WooCommerce’s terms, and Shopify’s terms.

Whosta does not ask for, and you must not provide, platform passwords directly. All access is obtained through official OAuth flows managed by the relevant platform.

6. Subscription, billing, and payment

Whosta may offer free and paid subscription plans. Paid subscriptions are billed in advance on the schedule stated at sign-up. All prices are stated exclusive of applicable taxes (such as German VAT) unless otherwise noted. You are responsible for all applicable taxes.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

Refunds are provided only where required by applicable law or as expressly stated in our refund policy. We do not provide pro-rated refunds for unused time within a billing period unless required by law.

7. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Connect accounts you are not authorised to access.
  • Attempt to gain unauthorised access to any part of the service, our infrastructure, or third-party systems.
  • Reverse engineer, decompile, or disassemble any part of the service.
  • Use the service in a way that could damage, overload, or impair our systems or those of third parties.
  • Circumvent any access controls, usage limits, or security features.
  • Use the service to transmit or store malicious code.
  • Resell or sublicense access to the service without our prior written consent.
  • Use the service to facilitate or cover up illegal activity.

We may impose fair-use limits on API calls, data imports, or report generation. Excessive use that adversely affects the service for other users may result in throttling or suspension.

8. Intellectual property

The Whosta service, software, trademarks, and content are owned by Xborder Technologies and are protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you.

You retain ownership of all data you bring to the service (“Customer Data”). You grant Xborder Technologies a limited, non-exclusive, non-transferable licence to process, store, and access Customer Data solely as necessary to provide the service to you.

9. Confidentiality

Each party may receive confidential information from the other. Both parties agree to keep the other’s confidential information secure and not to disclose it to third parties except as required by law or as necessary to provide or receive the service. Your account credentials and any non-public business information you share with us will be treated as confidential.

10. Data protection

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. We process personal data as a data controller under the GDPR. By using the service you acknowledge that you have read the Privacy Policy.

If you are based in the EEA and connect the Google Ads integration, you acknowledge that data from your Google Ads account will be processed by Whosta on your behalf in accordance with the Privacy Policy and the Google API Services User Data Policy.

11. Security responsibilities

You are responsible for maintaining the security of your account credentials. We recommend using a strong, unique password and enabling any multi-factor authentication options available to you. We are not responsible for unauthorised access to your account that results from your failure to maintain credential security.

12. Service availability and maintenance

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. We may carry out scheduled or emergency maintenance that temporarily affects access. We will endeavour to give reasonable advance notice of planned maintenance.

Whosta depends on third-party APIs including the Google Ads API, WooCommerce APIs, and Shopify APIs. We are not responsible for unavailability or changes to third-party services.

13. Beta and experimental features

Some features may be made available as beta or experimental releases. These features are provided “as is” without warranty. We may modify, limit access to, or discontinue beta features at any time without notice.

14. Suspension and termination

We may suspend or terminate your account immediately if you breach these Terms, if we reasonably believe your use creates a legal or security risk, or if required by law. We will endeavour to notify you in advance except where immediate action is necessary to prevent harm.

You may close your account at any time from your account settings or by contacting support@whosta.com.

15. Consequences of termination and data export

On termination of your account for any reason:

  • Your access to the service will cease.
  • OAuth tokens for all connected integrations will be revoked and deleted.
  • Your Customer Data will be deleted or anonymised within 30 days, subject to legal retention obligations.
  • Before closing your account, you should export any data you wish to retain. We provide data export functionality where technically feasible.

16. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE EXTENT PERMITTED BY APPLICABLE LAW, XBORDER TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

XBORDER TECHNOLOGIES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DATA RETRIEVED FROM GOOGLE ADS OR OTHER PLATFORMS WILL BE ACCURATE OR COMPLETE, OR THAT AI-GENERATED OUTPUT WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE. ADVERTISING PERFORMANCE IS SUBJECT TO MARKET FACTORS OUTSIDE OUR CONTROL.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable German or EU consumer protection law.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XBORDER TECHNOLOGIES’ AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO XBORDER TECHNOLOGIES IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.

IN NO EVENT WILL XBORDER TECHNOLOGIES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply to the extent permitted by applicable law. German statutory law, including mandatory consumer protection rights, remains unaffected.

18. Indemnification

You agree to defend, indemnify, and hold harmless Xborder Technologies and its officers, directors, employees, and agents from and against claims, damages, losses, and costs (including reasonable legal fees) arising from: (a) your use of the service in violation of these Terms; (b) your connection of accounts you were not authorised to access; (c) your violation of any applicable law or third-party right; or (d) your Customer Data.

19. Changes to the service and these Terms

We may update these Terms from time to time. We will provide reasonable advance notice of material changes by email or by a prominent notice in the service. If you continue to use the service after the effective date of a material change, you accept the updated Terms. If you do not accept the changes, you may close your account before the effective date.

We may modify, add, or discontinue features of the service at any time. We will provide reasonable notice where a material feature is discontinued.

20. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of the Federal Republic of Germany and by directly applicable European Union law, without regard to conflict-of-law principles.

For business customers and other users who are not consumers under applicable law, the courts competent for Cologne, Germany shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms or the service.

Users who are consumers resident in the European Union retain the benefit of any mandatory consumer protection provisions that cannot be contractually excluded under the law of their country of residence. Nothing in these Terms removes or limits those mandatory protections.

Xborder Technologies is neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board, unless participation is required by applicable law.

21. General

Notices: Notices from us to you will be sent to the email address associated with your account. Notices from you to us should be sent to support@whosta.com.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

No waiver: Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

Entire agreement: These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Xborder Technologies regarding the service and supersede any prior agreements.

Language: These Terms are written in English. In case of conflict between English and any translation, the English version prevails.
